Partner Program Terms

1. What this agreement is

These Partner Terms govern your participation in the ForecastCity Partner Program, operated by [[LEGAL_ENTITY]] ("we", "us"). They apply in addition to the ForecastCity Terms of Use and the Privacy Policy. Where they conflict on a Partner Program matter, these terms win.

By accepting these terms in your Partner dashboard you enter into this agreement. You must accept the current version before we release a cash payout to you.

2. The two ways to take part

Friend. Anybody with a ForecastCity account gets a referral link automatically. When someone signs up through it and becomes a paying customer, you receive platform rewards: credits and free subscription time. Friends do not receive cash.

Partner. If you apply and we approve you, your account is upgraded and your rewards become cash commission on a tier ladder. Approval is at our discretion and is not automatic.

We may move an account between these two modes, for example if a partner stops meeting our requirements.

3. Commercial terms live in your dashboard

Commission rate, tier thresholds, how many months of renewals are commissionable, the discount your referred customer receives, the holding period, and the minimum payout amount are all shown on your Partner dashboard and are the binding figures at any moment.

We can change them for future referrals. Referrals already attributed to you keep the rate that applied when they were attributed. Where a change reduces your rate on future referrals, we will give you at least 30 days' notice.

4. How a referral is attributed to you

• A referral is attributed when a new visitor arrives through your link and creates an account within the attribution window shown in your dashboard.
• Attribution is last-touch: if the visitor arrived through more than one partner link, the most recent one wins.
• Attribution is stored against a hashed visitor identifier and the referral code, as described in the Privacy Policy.
• An existing ForecastCity customer cannot be referred. Only genuinely new accounts count.
• We are the final arbiter of attribution. Where our records and yours disagree, ours decide.

5. When you actually get paid

1. Your referred customer makes a payment.
2. A reward is created and enters a holding period. During the holding period nothing is delivered and nothing is payable.
3. When the holding period ends without a refund, chargeback, or cancellation, the reward matures and becomes payable.
4. Matured cash commission accumulates in your balance. Once your balance is at or above the minimum payout amount, you can request a payout.
5. We process approved payouts to the payout method on your account.

The holding period exists because a payment can be reversed after it settles. It is not a delay tactic and it is not negotiable.

6. Reversal and clawback

A commission is reversed if the underlying payment is refunded, charged back, reversed, or found to be fraudulent.

• If the reward is still in the holding period, it is cancelled and nothing further happens.
• If it has matured but has not been paid out, the amount is deducted from your balance.
• If it has already been paid out, the amount is carried as a negative balance and offset against your future commission.
• Where a partner's account shows systematic abuse, we may reverse all affected rewards and close the account.

7. What you may not do

You may not:

• Refer yourself, or sign up through your own link using another email address, another household member's identity, or any account you control.
• Bid on ForecastCity, 4CastMachine, or confusingly similar terms in paid search, or run ads that appear to be from us.
• Register domains, social handles, or app names containing our brand names, or anything a reasonable person would mistake for them.
• Send unsolicited bulk email, messages, or comments containing your link. Spam is grounds for immediate termination and forfeiture of unpaid commission.
• Post your link in a way that misrepresents what the Service is, promises trading profits, or presents forecasts as guaranteed outcomes.
• Offer cash rebates, kickbacks, or unauthorised incentives for signing up through your link.
• Use cookie stuffing, forced clicks, iframes, redirect chains, toolbars, extensions, or any technique that attributes a referral the visitor did not choose.
• Represent yourself as an employee, agent, or spokesperson of ForecastCity, or make commitments on our behalf.
• Give investment advice, manage money, or hold yourself out as licensed to do so while promoting us, unless you actually hold the licence your jurisdiction requires.

8. How you must describe the product

You are promoting an analysis platform, not a profit machine. In any material you publish:

• Describe 4CastMachine AI output as forecasts and guide-lines. Do not call it a trading signal service.
• Do not promise, guarantee, or imply any level of return, win rate, or income.
• Do not fabricate results or testimonials, and do not present a demo account as a live one.
• Include a plain risk statement wherever you make a performance claim.
• Disclose that you earn a commission, as advertising rules in most countries require.

9. Brand use

We grant you a limited, revocable, non-exclusive licence to use our name and the brand assets we provide, solely to promote the Service under this agreement.

• Use the assets as supplied. Do not recolour, stretch, crop, or rebuild the logo.
• Creative assets generated through our Creative Studio carry our branding, which is applied on our servers and may not be removed, cropped out, or obscured.
• All goodwill from your use of our brand belongs to us.
• The licence ends the moment this agreement ends, and you must stop using the assets.

10. Your status

You are an independent contractor. This agreement does not create employment, partnership, agency, or a joint venture. You have no authority to bind us.

You are responsible for your own taxes, registrations, and filings on anything we pay you. Where the law requires us to withhold tax or collect tax information before paying you, we will, and payment may be held until you provide what is needed.

11. Suspension, termination, and what happens to your balance

Either side may end this agreement at any time, with notice.

• If you leave voluntarily, matured commission already in your balance stays payable, subject to the minimum payout amount.
• If we terminate you for breach of section 7 or 8, or for fraud, unpaid commission is forfeited.
• We may suspend payouts while we investigate a fraud signal, and we will tell you that we have done so.
• Commission that has been dormant, with no activity and no payout request for 24 months, may be forfeited after we notify you at your registered email.

12. Confidentiality

Non-public information we give you about the program, including unreleased features, internal metrics, and negotiated rates, is confidential. Do not publish it or pass it on.

13. Liability

We are not liable to you for lost profits, lost opportunity, or indirect losses arising from this agreement or from any change to the program. Our total liability to you is limited to the commission actually payable to you in the twelve months before the claim.

14. Changes to these terms

We may update these terms. When a change is material we will publish a new version and ask you to accept it before your next payout. Continuing to promote the Service after a material change takes effect means you accept the new version.

15. Governing law

This agreement is governed by the laws of [[GOVERNING_LAW]], and the courts of [[GOVERNING_LAW]] have exclusive jurisdiction.
